Therapist listing agreement

1. Parties and purpose

This Therapist Listing Agreement (“Agreement”) sets out the terms on which Mixed Mental Health CIC (“MMH”, “we”, “us”, “our”) may provide a directory listing and related platform services to the therapist or practitioner applying for or maintaining a listing (“you”, “your”).

By submitting an application, accepting a listing, or paying for a subscription, you agree to be bound by this Agreement.

2. Nature of the service

MMH is a directory and connection platform. We help users discover therapists and practitioners and make initial contact through the routes provided on the platform.

MMH is not:

  • A telehealth provider
  • A clinical service
  • An employer, agency, or partner of the therapist
  • A guarantor of client enquiries, conversions, therapeutic fit, or clinical outcomes

This reflects MMH’s stated platform boundary: we are a directory-first platform facilitating outbound contact. We do not hold clinical records, nor do we provide telehealth services.

3. Eligibility

To be eligible for a listing on the MMH directory, you must:

  • Be appropriately qualified for the services you offer.
  • Hold current membership, registration, or accreditation where relevant to your profession.
  • Hold current professional indemnity insurance where applicable.
  • Have the legal right to practise and advertise your services in your jurisdiction.
  • Provide accurate and complete information to MMH.
  • Comply with this Agreement and any applicable professional, ethical, legal, and regulatory obligations.
4. Application and approval

Submitting an application does not guarantee approval or publication on the directory.

MMH may:

  • Approve an application.
  • Request further information or clarification.
  • Request edits to profile content.
  • Decline an application.
  • Place an application on hold pending review.

MMH’s review process is a screening and cataloguing process, not a clinical adjudication service. A listing decision is an editorial and platform decision, not a statement of clinical endorsement.

5. Listing content and accuracy

You are responsible for ensuring that all information submitted to MMH is:

  • Truthful and accurate.
  • Current and not misleading.
  • Lawful, respectful, and non-discriminatory.

This includes, but is not limited to: qualifications, accreditations, registration numbers, fees, modalities, availability, location, profile text, identity or heritage disclosures, and external links/booking details.

You agree to update your information promptly if anything changes.

6. Professional standing and insurance

You must maintain, for the duration of your listing:

  • Current professional standing or membership where relevant.
  • Any required licence, registration, or accreditation.
  • Current professional indemnity insurance appropriate to your practice.

MMH may request updated evidence of these at any time, including at renewal or during a review.

7. Verification, review, and MMH rights

MMH may review documents and information you provide to support a listing. This may include professional body membership or registration evidence, insurance evidence, profile information, and public information reasonably relevant to your listing.

You agree that MMH may:

  • Verify or attempt to verify the information you provide.
  • Request additional documents.
  • Place your listing in draft, pending, paused, suspended, or unpublished status.
  • Add or remove trust labels or status descriptions.
  • Edit formatting, headings, tags, or category placement for consistency and platform usability.
8. Fees, billing, renewals, and refunds

Any listing fee, subscription fee, renewal date, and payment terms will be shown at sign-up or renewal.

Unless otherwise stated in writing:

  • Fees are paid in advance.
  • Subscriptions renew automatically on an annual or monthly basis (as applicable).
  • You authorise MMH or its payment processor to collect the applicable fee.
  • Failure to pay may result in suspension or removal of the listing.

Refunds: Except where required by law, MMH is not obliged to provide refunds for unused subscription periods after a listing has been approved or published. If MMH declines your application before publication, MMH may refund any fee already paid, less any clearly stated non-refundable admin fee if one applies.

9. Your responsibilities to clients and users

You are solely responsible for:

  • All services you provide.
  • Your clinical decisions and boundaries.
  • Your client contracts, fees, and payment handling.
  • Your record-keeping and data protection compliance in your own practice.
  • Your handling of enquiries received through or following MMH.

You must not suggest that MMH clinically endorses you, guarantees your quality, supervises your practice, or is a party to your therapeutic contract with any client.

10. Data protection and confidentiality

For your own practice and client work, you act as an independent data controller for the personal data you collect and process outside MMH. You are responsible for complying with applicable data protection laws, confidentiality duties, and professional standards in relation to any client data you receive.

Where you provide identity-related profile information to MMH, you confirm that:

  • You understand which elements are intended for public display and which are not.
  • Any optional identity, heritage, or faith information is provided voluntarily.
  • You have the right to provide the materials you upload or submit.

As MMH invites optional disclosures about race, ethnicity, heritage, religion, or other identity-related matters, the ICO treats some of this information as special category data. You provide this information on the basis of your explicit consent for it to be displayed on your profile.

11. Complaints, safeguarding, and investigations

MMH may receive complaints, concern reports, or safeguarding-related notifications about listings or profile content.

You agree that MMH may:

  • Review concerns raised about your listing.
  • Contact you for clarification or request changes, corrections, or supporting evidence.
  • Temporarily pause or unpublish your listing during an investigation.
  • Permanently remove your listing where MMH reasonably considers it necessary to protect users, the platform, or MMH’s legal and reputational position.

MMH may also preserve relevant records where reasonably necessary for complaints handling, legal compliance, or risk management.

12. Suspension, removal, and termination

MMH may suspend, unpublish, or terminate your listing immediately where MMH reasonably believes that:

  • Information provided is inaccurate or misleading.
  • Required documents are missing, expired, or unverifiable.
  • You no longer meet MMH’s eligibility requirements.
  • Your conduct creates a trust, safeguarding, reputational, discrimination, or legal concern.
  • You breach this Agreement or misuse the platform.
  • Continued publication is not in the best interests of MMH or its users.

You may request removal of your listing by written notice to MMH. Removal will not necessarily entitle you to a refund.

13. No guarantee of enquiries or outcomes

MMH does not guarantee any number of profile views, enquiries, client leads, conversion, income, search ranking visibility, therapeutic outcome, or client suitability.

14. Intellectual property and licence

You retain ownership of content you submit that belongs to you. By submitting content to MMH, you grant MMH a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, format, publish, display, and distribute that content for the purpose of operating, promoting, and improving the MMH platform, directory, and related communications

You confirm that you have the right to use and share all text, images, logos, and materials you provide.

15. Indemnity

You agree to indemnify and keep indemnified MMH, its founders, officers, and representatives against losses, liabilities, claims, costs, and expenses arising out of or in connection with:

  • Inaccurate, misleading, or unlawful information you provide.
  • Your services, advice, or treatment.
  • Your breach of this Agreement.
  • Your breach of legal, regulatory, ethical, or professional obligations.
  • Any infringement of third-party rights by content you provide.
16. Limitation of liability

To the fullest extent permitted by law:

  • MMH excludes liability for indirect, consequential, or loss-of-profit claims.
  • MMH’s total liability arising out of or in connection with your listing or this Agreement shall not exceed the total fees paid by you to MMH in the 12 months preceding the event giving rise to the claim.

Nothing in this Agreement excludes liability that cannot lawfully be excluded.

17. Changes to the service or agreement

MMH may update the platform, listing features, application process, pricing, or this Agreement from time to time. Where changes are material, MMH will take reasonable steps to notify listed therapists.

18. Relationship of the parties

Nothing in this Agreement creates any partnership, joint venture, employment, agency, or fiduciary relationship between you and MMH.

19. Governing law

This Agreement is governed by the laws of England and Wales, and the courts of England and Wales shall have exclusive jurisdiction unless applicable law requires otherwise.
